The purchase price is based on the net asset value of assets (inventories, fixed assets)/liabilities to be taken over plus a premium of EUR 3.9 million. The Herlitz Group has been incurring losses in the past years due to the decrease in PBS volumes and is not able to achieve profitability on a standalone basis. Henceforth, the transaction is accretive to the Herlitz Group as it is expected to improve performance of the company going forward and refocus the Group to become a services company in the areas of logistics, merchandising, IT, production and international sales services. Supervisory Board and Management Board are of the opinion that the transaction is in the best interest of the Herlitz Group.
