The issuer is solely responsible for the content of this announcement. --------------------------------------------------------------------------- Curanum AG: Amendment to the contribution agreement signed On 6 July 2013, Curanum AG, Munich, and Korian S.A., Paris, entered into a contribution agreement relating to the contribution of all shares of Phönix Seniorenzentren Beteiligungsgesellschaft mbH, Füssen, by Korian S.A. to Curanum AG against issuance of new shares in Curanum AG. The contribution agreement is subject to the condition subsequent (auflösende Bedingung) of the registration of the capital increase against contribution in kind by 28 February 2014 in the commercial register of Curanum AG. On 21 August 2013, the annual general meeting of Curanum AG approved the capital increase against contribution in kind. The resolution of the annual general meeting was contested by shareholders. Curanum AG has initiated a release procedure (Freigabeverfahren) with the Higher Regional Court (Oberlandesgericht) of Munich. In the oral hearing on 18 December 2013, the Higher Regional Court did not resolve that the capital increase is to be registered irrespective of the contestation suits. Curanum AG and Korian S.A. today signed an amendment to the contribution agreement of 6 July 2013, clarifying the consequences of fulfillment of the condition subsequent. Based on the amendment and the original contribution agreement, the capital increase will not become effective by 28 February 2014 and the contribution in kind will be reversed with economic retroactive effect. Simultaneously, Curanum AG and Phönix Seniorenzentren Beteiligungsgesellschaft mbH have agreed to sign a service agreement relating to certain services rendered by Curanum AG on behalf of and for the account of Phönix Seniorenzentren Beteiligungsgesellschaft mbH in order to realize substantial parts of the planned synergies for both companies without the contribution in kind.
