Extraordinary General Meeting on the appointment of Rödl & Partner GmbH Wirtschaftsprüfungsgesellschaft as auditor for the financial year 2019

The Supervisory Board of Gateway Real Estate AG (WKN A0JJTG, ISIN DE000A0JJTG7) today decided to propose to an extraordinary General Meeting to be held on 20 January 2020 that Rödl & Partner GmbH Wirtschaftsprüfungsgesellschaft, Nurnberg, be appointed as the auditor of the annual financial statements and the consolidated financial statements for the 2019 financial year and as the auditor for the potential audit review of the half-year financial report and other financial information for the 2019 financial year.

In its nomination for the appointment of the auditor by the Annual General Meeting of 21 August 2019, the Supervisory Board assumed that the audit mandate of PricewaterhouseCoopers GmbH Wirtschaftsprüfungsgesellschaft would merely be renewed. However, on the basis of more recent discussions in the audit profession, PricewaterhouseCoopers GmbH Wirtschaftsprüfungsgesellschaft refused the engagement because the audit of the 2018 consolidated financial statements had only been conducted on a voluntary basis and therefore there had been no renewal of the audit engagement within the meaning of the EU Audit Regulation.

The Audit Committee has now carried out a selection procedure and, on this basis, expressed a justified preference for Rödl & Partner GmbH Wirtschaftsprüfungsgesellschaft, Nurnberg. Based on this recommendation, the Supervisory Board today decided to propose to the General Meeting that Rödl & Partner GmbH, Nurnberg, be appointed as auditor for fiscal year 2019.
