VIB Vermögen AG announces personal changes in the Management Board as well as conclusion of a Business Combination Agreement with DIC Asset AG

Neuburg/Donau, March 22, 2022 - The Chairman of the Management Board of VIB Vermögen AG, ISIN: DE000A2YPDD0 ("VIB"), Mr. Martin Pfandzelter, and the member of the Management Board responsible for finance, Mr. Holger Pilgenröther, informed the Supervisory Board of VIB today about their resignation from their positions on the Management Board of VIB with effect as of June 30, 2022. The Supervisory Board of VIB today appointed Mr. Dirk Oehme, also Head of Finance and Accounting at DIC Asset AG ("DIC Asset"), as a new, additional member of the Management Board. The Supervisory Board will discuss the appointment of a further member of the Management Board as successor of the resigning Management Board members in due course.

Furthermore, VIB today entered into a business combination agreement with DIC Real Estate Investments GmbH & Co. KGaA ("DIC Real Estate") and DIC Asset, governing the companies' common understanding of VIB's future organizational structure, corporate governance and business strategy ("BCA"). In accordance with the provisions of the BCA, the members of VIB's Supervisory Board, Mr. Florian Lehn and Ms. Prof. Dr. Michaela Regler, have notified VIB's Management Board that they will resign from their positions on the Supervisory Board as of March 22, 2022. VIB's Management Board intends to file an application with the Local Court of Ingolstadt for the judicial appointment of Mr. Prof. Dr. Gerhard Schmidt, also Chairman of the Supervisory Board of DIC Asset, and Ms. Sonja Wärntges, also Chairwoman of the Management Board of DIC Asset as Supervisory Board members of the company.

In the BCA, DIC Asset and DIC Real Estate announced to exercise their voting rights in the general meeting of VIB to the effect that the general meeting of VIB resolves on the dividend in the amount of EUR 0.85 per share to the shareholders of VIB for the financial year 2021 as previously proposed by the resigning members of the Management Board.
