("GROHE"), Joyou AG's parent company. Upon completion of such agreement on or after April 1, 2015, after obtaining applicable regulatory approvals, Joyou AG will become a consolidated, indirect subsidiary of LIXIL Group Corporation, the parent company of LIXIL. GROHE and Joyou remain independent within the LIXIL Group. The seller of the shares is the German Cai GmbH, represented by Jianshe CAI and Jilin CAI, the Chief Executive Officer and respectively Chief Operating Officer of Joyou AG.
