Hence, Curanum AG has ceased to exist. Simultaneously, the resolution of the extraordinary general meeting of Curanum AG of 19 December 2014 on the transfer of the minority shareholders' bearer shares in Curanum AG to the principal shareholder Korian Deutschland AG against payment of an adequate cash compensation of EUR 3.03 per Curanum share pursuant to § 62 para. 5 of the German Transformation Act (UmwG) in conjunction with §§ 327a et seq. of the German Stock Corporation Act (AktG) has become effective (so-called merger squeeze-out). Thus, all shares of the minority shareholders of Curanum AG have been transferred to Korian Deutschland AG. The stock exchange listing of Curanum AG's shares will presumably be ceased shortly. Dealings on the stock exchange taking place prior to the cessation of the stock exchange listing will only comprise cash compensation claims of the minority shareholders.
