The issuer is solely responsible for the content of this announcement. --------------------------------------------------------------------------- Powerland AG will not receive an Audit Opinion for its unconsolidated and consolidated financial statements for 2012 Frankfurt/Main, 2 July 2013 - The auditor of Powerland AG, BDO AG Wirtschaftsprüfungsgesellschaft, informed Powerland AG today that the audit of the consolidated and unconsolidated financial statements for the financial year ended 31 December 2012 will presumably be finalised by the end of this week. The auditor will not issue an audit opinion but will issue an adverse opinion with regard to both audits. The Management Board and Supervisory Board have not yet obtained the audit reports. As soon as the audit reports become available, Management Board and Supervisory Board will, in close coordination, analyse the reasons underlying the adverse audit opinions and communicate such reasons to the capital markets. In addition, Management Board and Supervisory Board will decide upon measures to be taken once the audit reports are available. The Company intends to publish the unconsolidated and consolidated financial statements for the financial year ended 31 December 2012 without audit opinion in a timely fashion. Due to the current events the general shareholders' meeting of the company for the financial year 2012 will be delayed for an indefinite period.
