In all a total of 99.8278% representing the share capital voted for a transfer of shares. At the point of voting at the Annual General Meeting, 11,944,355 of voting shares amounting to EUR 11,944,355 of the share capital of net mobile AG were represented. This corresponds to 95.95% of the share capital of the Company. As part of the squeeze-out procedure, DOCOMO Digital GmbH will now acquire all the outstanding shares of the minority shareholders of net mobile AG according to a fair cash compensation amounting to 6.40 EUR per no par value bearer shares of net mobile AG according to §§ 327a ff AktG. The shares of the minority shareholders are deemed as being legally transferred to DOCOMO Digital GmbH as soon as the transfer resolution is entered in the register. Details of the settlement and the payment shall be made known after entry of the transfer resolution in the commercial register.
