The company Shanghai SafBon Investment Co., Ltd. ("SafBon") intents an extensive commitment into ItN Nanovation AG (ISIN DE000A0JL461). After intensive discussions with ItN's management and supervisory board as well as the major shareholders of ItN Nanovation AG, SafBon has just announced to acquire shares of around 9.7 million at a price of 0.10 Euro per share of the present major shareholders, the Stoll Families and Coreo AG, until Sep 30th, 2016. Corresponding contracts under the law of obligations between SafBon and the Stoll Families as well as the Coreo AG have already been signed. Furthermore, SafBon plans a subscription to a capital increase of 1.50 million shares against cash with ItN's shareholders' subscription rights excluded at a price of 2.00 Euro per share until November 30th, 2016 at the latest. After execution of this transaction SafBon would hold shares of 67.7 percent of the voting rights of ItN Nanovation AG. All measures are still subject to governmental approval. Moreover, Safbon wants to grant a loan of 0.5 million Euro to ItN Nanovation AG until August 3rd, 2016 at the latest. A General Agreement was signed between SafBon and ItN about all above mentioned measures.
