The issuer is solely responsible for the content of this announcement. --------------------------------------------------------------------------- Ad-hoc release BDI - BioEnergy International AG: Offer to existing shareholders announced, delisting of shares of BDI intended 17.10.2016 (Grambach, 17 October 2016) The stock listed leading technology supplier BDI - BioEnergy International AG ("BDI"), informs that an offer to purchase the shares held by the freefloat shareholders has been announced by BDI's principal shareholder and that it is intended to apply for a delisting of the BDI shares. BDI Beteiligungs GmbH, BDI's principal shareholder, holding currently 72.46 % of the shares of BDI, intends to launch a voluntary offer for the shares held by the retail shareholders. The shareholders will be offered a price of EUR 13.50 in exchange for each BDI share. BDI intends, in agreement with BDI Beteiligungs GmbH, to delist the shares of BDI from the Regulated Market of the Frankfurt Stock Exchange in due course following the publication of the offer document and to file an application for the revocation of the listing and trading of BDI's shares on the Regulated Market of the Frankfurt Stock Exchange. BDI does not intend to initiate admission on any other regulated market or a trading platform.
